Project Description:

I need an experienced legal professional to draft 6 legal documents. The documents will cover several common situations dealing with freelance and outsource workers.

The most involved is the statement of expectations, which spells out the general expectations for completing a project (communication turnaround, deliverables, rights, etc.). This will be customizable so that the relevant details from each project can be added.

The second most involved is a partnership agreement, that basically states all revenue generated from any sites registered in the business name will be split 50/50. This should be a pretty generic document.

We also need a non disclosure agreement, a project completion letter, a letter if the project guidelines are not being followed, and a notice of project termination if the terms of the contract are not followed.

The documents need to be in PDF format, so they can sign them electronically (with the exception of the partnership agreement).

Partnership Contract
• We need a Texas based partnership contract for a web services company.
• There are two partners.
• All revenue is to be split 50/50.
• The scope of the partnership covers all revues generated from any sites registered by the business.

Non-Disclosure Agreement
• We need a non-disclosure agreement for outsourcing and freelance workers.
• The providers will be forbidden from revealing the nature of their work on the project or any information about their employer. This does not expire.
• All of the work submitted by the provider will immediately become full property of the employer. The provider will not maintain a copy of the work, nor reuse it for any purpose in the future.

Project Guidelines and agreement
• This is for a fixed price project.
• The project guideline agreement will be signed before the project begins to establish the expectations for the project.
• The provider is not being paid by the hour or for the amount of time spent or effort expended. They will be evaluated solely on the outcome of the project.
• If they end the project early, or if they violate guidelines and are fired, they will not be compensated. The project is binary, either it is complete or it is not. There is no middle ground.
• The project needs to cover deadlines. Some will have a final deadline, and some will have a series of deadlines.
• The employer reserves the right to terminate the relationship if any of the deadlines are not met.
• There may be a “grace period” at the discretion of the employer. If the provider is having trouble meeting a deadline, they should let the employer know as soon as possible.
• The payment for the project will be delivered within 7 days of project completion.
• Larger projects, that have defined stages, can have partial payment for individual stages. Payment will be provided within seven days.
• Unless noted, payment will be made by check.
• There should be a section for bonus objectives. Certain objectives might be laid out that will earn the provider a bonus payment.
• For example, finishing the project ahead of schedule would result in a $1000 bonus.
• Bonus objectives can be based around overall project completion, or individual components.
• Bonus payment will be included with the final payment.
• All work produced must be original.
• Proper licensing must be followed for any elements used in the project that were not created by the provider.
• Any “stock” elements used must be used under their license. Unless otherwise noted, they should be usable on commercial projects.
• All stock elements must be usable by others (no single user licenses), and not require prior site approval.
• Providers must remain in constant communication.
• All emails should be replied to within 24 hours.
• Email access is the standard of contact.
• Instant Messaging programs do not take the place of email. The provider cannot be unresponsive to email communications and then later claim it was not their fault because they were on an IM program awaiting some piece of feedback.
• Providers should plan ahead when requesting feedback or additional information.
• The employer will respond within 24 hours.
• The provider is responsible for asking all relevant questions. If they fail to complete a project, they cannot claim it was because they did not have access to information they needed.
• All communication must be professional.
• Providers must ensure they have access to the proper technical resources. The provider cannot justify the failure of a project by saying they did not have the technical resources, or that they were malfunctioning.
• Providers must possess the proper credentials for the project or may be terminated at any time. This includes exaggerating or misrepresenting their qualifications.
• Project Requirements
• This will change from project to project.
• This is the criteria on which the project will be judged.
• The provider needs to ensure they hit all requirements, as there is no “partial credit”
• The employer will have the final say on whether the submitted work meets the criteria.
• If the employer judges that it does not, he has the option of extending the deadline and providing time to bring the work up to the expected level or terminate the project.

Project Completion
• Will be provided on project completion.
• Thank them for the work, and that we hope to turn this into an established relationship.
• Remind them of the NDA.
• Notify them that their payment will be made within seven days.

Project Warning document
• This will be submitted to providers that are violating some aspect of the project or deadline.
• This needs space to spell out the nature of the violation (for this document use a deadline violation).
• They should be reminded of the relevant points in the project contract.

Project termination notice
• This will be the official notice that a project is to be terminated.
• It will state that all professional relationships are severed, and remind the provider of the NDA.
• It will reference the relevant points of the project contract (use deadline violation).

Some general notes
• All documents should be delivered in Word Document and Adobe PDF. The PDF documents need to be electronically signable, and email a confirmation to an address specified within the document.
