Project Description

Under the terms of this agreement ScissorBoy will develop mobile apps and act as a dealer for your video education content.
ScissorBoy will produce a Beauty Mastermind branded iPhone, iPad, Android Phone and Android Tablet branded app
We have exclusive rights to distribute your videos content via iOS and Android app stores for a period of X years
ScissorBoy owns the exclusive rights to the intellectual property and the proprietary technology developed for the application such as the video tracking technology, gamification features, team dashboard and other innovations both current and future, as well as the salon and cosmetology database records
Beauty Mastermind will not attempt to copy proprietary technology used in the app
Beauty Mastermind owns exclusive rights to Beauty Mastermind video content provided in the apps
Proceeds of sales
In-App purchases through the Apple App Store or the Google Play Store will be subject to a standard 30% fee payable to Apple/Google for selling on their platform.
Beauty Mastermind and Scissorboy will split the remaining 70% of the proceeds from in-app sales. Beauty Mastermind 35% / ScissorBoy 35%
This agreement covers the sale of digital products ONLY. Apple, Google and ScissorBoy will not take a commission on the sale of physical goods & services. This is subject to changes in policy from apple and google which we can not predict.
Beauty Mastermind can sell access to the video content on the Beauty Mastermind app outside of the app store and by-pass the 30% in-app commission payment to apple/google. These customers will have access to the mobile apps with a $2/month access fee that would be payable to ScissorBoy to cover bandwidth, technical support, maintenance & upgrade costs as well as allowing ScissorBoy to recoup app development costs.
SB can sell access to the BMM app video content outside of the app store and by-pass the 30% in-app commission payment to apple/google. The commission split on these customers will be 40% SB, 40% BMM and 20% to cover bandwidth, development, technology licensing fees, maintenance and upgrade costs. as well as allowing ScissorBoy to recoup app development costs.
Beauty Mastermind has the option to purchase a license for this custom Beauty Mastermind branded app at a cost of $30,000 which will completely bypass paying commissions of any kind to ScissorBoy. App upgrades and video bandwidth may incur additional charges.
Beauty Mastermind has the option to upgrade this agreement at anytime to a Partnership Agreement with SB where BMM retains a higher percentage of the revenue generated by the app. BMM would pay the upgrade fee of $5,000 (subject to change) and SB will no longer be a dealer but a minority partner (20%) for video sold via the app.
Beauty Mastermind is not responsible for bandwidth charges for streaming video content to BMM app users.
Beauty Mastermind is not responsible for development charges.
The BMM app will include a Video Player page, Video Search Page, Profile & Settings Pages, a Dashboard Page and Featured Videos Page.
BMM is not responsible for paying for app software upgrades on standard features
BMM will be responsible for customizations for features not included in the list of standard features
BMM will be responsible for providing SB with high quality video content, photographic artwork and descriptions for their content
SB has the right to upgrade the app at its own discretion. If there is not sufficient # of users app updates may be less frequent.
BMM is not responsible for paying licensing fees to SB for using the proprietary app software they have developed
BMM will have access to SB's database of 3,500 cosmetology schools for the purpose of expediting the registration process for their users. This access is strictly restricted to the registration process in the app
BMM will have access to SB's database of 480,000 hairdressing salon for the purpose of expediting the registration process for their users
