I need a simple sales agreement written which will accomplish the following, in as plain and simple language as possible. A private seller of a good (vehicle, computer, etc), agrees to allow me the opportunity to sell their good on their behalf for a specific period of time (60 days, 90 days, etc). During this time, I will actively be trying to find them a buyer. If they sell their good, we will collect a previously agreed upon fee listed in the agreement. At the end of the period, if the contract hasn't already been resolved (ie buyer found for seller's product, and fee already paid), the seller has to fax or scan and email confirmation that they still own the vehicle within a specific period of time, or else the contract will assume that the good has been sold and the previously agreed upon fee will be owed to me. I think that basically covers it. It's really fairly simple, but it to be legally binding so I'd feel more comfortable having someone write it who's a little more knowledgeable (or has an applicable template on hand) :)
## Deliverables
1) Complete and fully-functional working program(s) in executable form as well as complete source code of all work done.
2) Deliverables must be in ready-to-run condition, as follows (depending on the nature of the deliverables):
a) For web sites or other server-side deliverables intended to only ever exist in one place in the Buyer's environment--Deliverables must be installed by the Seller in ready-to-run condition in the Buyer's environment.
b) For all others including desktop software or software the buyer intends to distribute: A software installation package that will install the software in ready-to-run condition on the platform(s) specified in this bid request.
3) All deliverables will be considered "work made for hire" under U.S. Copyright law. Buyer will receive exclusive and complete copyrights to all work purchased. (No GPL, GNU, 3rd party components, etc. unless all copyright ramifications are explained AND AGREED TO by the buyer on the site per the coder's Seller Legal Agreement).
