I am in need of of a legal professional that can help modify a contract, possibly create amendments. I am in the middle of a contract negotiation with a large fortune 500 company where we are outlining a software and service agreement that involves three parties.

Party 1 = Data owner (fortune 500 company)

Party 2 = Software owner

Party 3 = Service provider/Reseller (my company)

The objective is to take the existing contract and modify the language to cover specific terms for my company. The contract already has a client designation section where we just need to describe two terms defining our usage. The contract will be set up with a Sub-distributor and Reseller option. Most of the language is there and we really just need it to be modified. I have copies of the original end-user agreement as well as a marked up version of one in negotiations.

I can explain the details in layman's terms and need someone to put that in contract terms where I know my company is protected. With an existing contract to work off of, a version already marked up and definitions provided I don't expect this to be a big project and may only take a few hours. I do have additional contract work needed for the reseller agreement that I will submit in a separate project.
