I am looking for a contract attorney to provide legal advice to me about a problem with someone that bought my small company ($200k) 8 months ago:
I sold my small manufacturing business in November 2012 to a man and his wife (couple in their 50's)
Immediately after closing on the sale of the company, I provided them with 3 weeks of training, assistance and advice (contract stated I needed to provide only 2 weeks of training).
A few days ago (8 months after the deal closed), they asked to meet with me. When I met with them, they gave me a list of problems with the business: equipment breaking, expired chemicals, missing products, etc. They are seeking financial compensation for the problems.
When I sold them this company, I used a business broker to manage the deal. We used a standard "purchase/sale" contract. I'm pretty certain this contract protects me from his claims about broken equipment - the contract states that the buyer should inspect all equipment before close of escrow.
I need you to review the list of their complaints against the contract and provide legal advice and direction.
The contract is relatively simple and standard. This case should be fairly short and easy.
