We are looking for an attorney capable of making up a "partnership agreement" that is enforcable in the US for a newly formed Florida corporation.
Basically, what we are looking for is an agreement stating each partner's responsibilities (we will provide), the equity distribution, how responsibilities will be checked and penalties for not meeting those responsibilities.
Aside from that we would require the basic "legaleze" to protect the owners, describe dividend distributions, etc.
A bit about our new business:
We just opened up a new corporation (Florida) to teach seminars. There currently are 2 principals and we may bring in up to 2 additional people who will receive equity based upon their ability to meet the job descriptions we set for them.
Of course, more information will be provided, but we require direction about what to do, what information you need, etc.
