What is Freelancer’s dividend policy?

The Company intends to continue its stated dividend policy of distributing no dividends until the financial and market position of the company warrants it, as decided by the Board of Directors.

The Company cannot and does not give any assurances as to the extent, timing, level of franking or payment of any dividends in any future period as all of the foregoing are dependent upon a number of factors including the level of future earnings, the amount of tax paid, the financial position of the Company, future operating conditions and future cash requirements to fund growth.

The level of franking of future dividends, if any, will depend upon the proportion of the Company’s profits taxed in Australia.

How can I obtain an Annual Report?

All current and previous Annual Reports will be made available online, on the ASX website and also in the Company Announcements section of the Freelancer website.

Tax Information

All companies must deduct tax at the top marginal rate plus the Medicare levy from un-franked dividends and interest payable to investors who have not supplied their Tax File Number/Australian Business Number (TFN/ABN). Tax will not be deducted from the franked portion of dividends. Certain pensioners are exempt from supplying their TFN. If you are an eligible pensioner you should complete the TFN exemption section to claim exemption from quoting your TFN (refer to explanation section below).

Non-resident Tax Information

If, for taxation purposes, you are a non-resident of Australia (or in certain cases a recently arrived resident), then your dividend/interest may be subject to special tax provisions which require tax to be withheld before payment of dividends/interest is made. If your postal address is outside Australia you will be treated as a non-resident.

Quotation Optional and Privacy Requirements

The quotation of your TFN/ABN is optional and you are not required to provide your TFN/ABN if you do not wish to do so. It should also be noted that the details provided with respect to your TFN will be treated confidentially in accordance with strict privacy guidelines.

It is not an offence if you choose not to quote your TFN/ABN, but if you do not, tax may be taken out of your dividends/interest. If you quote your TFN/ABN, no tax will be taken out of dividends/interest paid on your investment.

Freelancer Foundation Shareholder Program Eligibility

To be eligible for the Freelancer Foundation Shareholder Program, you must meet the following:

  • Be a validly registered user of the Freelancer.com website (Freelancer User). Suspended accounts will not be eligible. Freelancer Users who breach the Terms of Use of the Freelancer.com website (as set out in the User Agreement) may have their Program membership suspended or cancelled, at the discretion of Freelancer.com.
  • Have a minimum shareholding of 1000 ordinary fully paid shares in Freelancer Limited (ASX: FLN) (Minimum Shareholding)
  • This Minimum Shareholding must be held for an entire calendar month. Fee rebates will not be paid for any month where the shareholding falls below the Minimum Shareholding at any time. Rebates are paid on project and contest commissions (not upgrades), and only for fees that are paid. Unpaid fees will not receive rebates.
  • The Freelancer.com user’s account receiving the benefits must have their full name, address and telephone number filled in on the account accurately, and the shareholding must also be:
    1. in the name of a natural person who is also the registered Freelancer Limited shareholder; or
    2. nominated by a Freelancer Limited shareholder who is a company, trust or incorporated body.
