Microsoft CRM 3.0 to 4.0 data migration

We currently have a Microsoft CRM 3.0 deployment and want to move to version 4.0 and the problem is that the CRM 3.0 system has some database issues and will not upgrade to 4.0. We have built a new CRM 4.0 server and are trying to move the data across without success.
There are several ways to accomplish but all are prooving difficult.
1) Fix current CRM 3.0 and upgade.
2) Build new CRM 3.0, import data and then upgrade.
3) Build new CRM 4.0, export data from 3.0 and use CRM 4.0 Migration Tool
The succesful candidate should have knowledge of SQL, CRM 3.0 and CRM 4.0
